Additional business services and digital advertising terms
Additional provisions provisions supplement the website terms above.
These additional terms apply to business-to-business publishing, advertising, digital media, campaign management and related services only where iMELLO and a client agree to those services and these terms are incorporated into their proposal, service agreement, order or invoice. They do not mean that merely visiting this website creates a paid service relationship.
1. Contracting company and definitions
“iMELLO” or “Company” means the Singapore-based company operating imello.com, with the precise contracting legal entity identified in the applicable proposal, invoice or agreement. “Client” means the organisation or person commissioning the services. “Services” means the work described in an accepted written quotation, insertion order, service agreement or other agreed statement of work. “Platforms” includes search, social media, ad networks, ad exchanges, hosting and other third-party services.
If the legal contracting entity, applicable services or charges are not clear, the parties should confirm those particulars in writing before work begins. Nothing here identifies any individual consultant as the contracting party.
2. Scope of work and independent relationship
Only the Services expressly agreed in writing are included. Services may include digital publishing, advertising inventory, campaign execution, media planning, content distribution or third-party advertising-platform management where specifically commissioned. Creative production, legal review, regulatory advice, website development and other additional work are excluded unless expressly included in the agreed scope.
iMELLO operates as an independent external service provider and not as the Client's employee, director, partner, agent for all purposes, or internal legal or compliance department. Any limited authority to act on an advertising account must be granted separately and does not transfer ownership of the Client's business or its regulatory obligations.
3. Client information, instructions and approvals
The Client must provide timely, accurate information, agreed materials, required account access and a contact authorised to approve campaigns, budgets and materials. The Client is responsible for substantiating its products, services, offers, prices, landing pages, claims and any instructions supplied to iMELLO, and must promptly notify iMELLO in writing about corrections, complaints, restrictions and material business or legal changes.
Where the Client authorises routine campaign adjustments without requiring advance approval for each technical change, that authorisation does not make iMELLO responsible for the accuracy or legal compliance of underlying Client-supplied claims or materials.
4. Advertising policies and applicable laws
The Client is responsible for identifying and complying with the laws, consumer-protection rules, sector regulations and advertising standards applicable to its advertised products and services, and with the requirements of each relevant advertising platform, including Google Ads, Meta/Facebook Ads and other Platforms where used. This includes eligibility, licences, verification, claims, restricted categories, targeting, landing pages, intellectual-property permissions and approvals.
iMELLO may suggest, set up, upload, modify or distribute advertising as part of expressly agreed Services. Doing so is not a legal certification or guarantee that an advertisement meets every applicable requirement. The Client must supply any non-obvious restrictions, required approvals and compliance instructions in writing before publication and whenever circumstances change. iMELLO may decline, pause or request correction of material reasonably believed to breach a law, Platform policy or third-party right.
5. Mandatory disclosures, creative assets and AI imagery
The Client must identify, provide and approve any mandatory disclaimers, warnings, qualifying statements, labelling or disclosures required in advertisements or related landing pages, together with any requirements about prominence and placement. This includes requirements concerning synthetic, enhanced or AI-generated images or videos.
For example, if an AI-generated property illustration requires a notice such as “AI-generated visualisation; actual property may differ”, the Client must confirm the legally appropriate wording and placement. That example is illustrative, not an assurance that the wording is sufficient in any jurisdiction.
Unless the written scope says otherwise, the Client supplies its own finished, licensed and approved images, audio, video and advertising creative. Any optional mock-up, draft, design concept or AI-assisted example supplied by iMELLO is for evaluation and is not a substitute for the Client's final legal, factual, rights and Platform checks. Separate creative production must be expressly agreed, including fees and usage rights.
6. International targeting, local currency and taxes
The Client must identify requirements in each country or region where an advertisement is directed or displayed, even where the Client is based in Singapore or elsewhere. Where local rules require prices in a particular currency, taxes to be included, special qualifications, age restrictions or sector-specific notices, the Client must notify iMELLO and supply compliant instructions before launch. iMELLO is not engaged to provide legal or tax advice for every targeted jurisdiction unless that is separately agreed in writing.
7. Campaign authority and account ownership
If third-party account management is expressly included, the Client authorises iMELLO to make reasonable operational changes within the agreed scope, including adjustments to campaigns, audiences, keywords, bids, budgets and placements, subject to written spending limits and approvals. The Client retains ownership and control of its accounts except to the extent an advertising platform's own terms say otherwise. The Client remains responsible for its own Platform contracts and must maintain appropriate administrators and payment settings.
8. Management fees, advertising spend and third-party charges
Fees, billing cycles, payment deadlines, ad-spend limits, taxes and any notice period are those stated in the applicable accepted proposal, order, invoice or agreement. Unless expressly agreed otherwise, management or service fees are separate from advertising spend, production charges and third-party costs. Ongoing monitoring, reporting and availability can form part of an agreed recurring service even when no individual campaign adjustment is necessary during a particular period.
Where the Client is billed directly by Google, Meta or another Platform, the Client is responsible for the Platform's charges, payment method, limits, invoices, refunds and disputes and must raise billing issues with that Platform. Where iMELLO is separately engaged to purchase or resell media, the written order or invoice will instead govern that arrangement. iMELLO does not control independent Platforms' billing systems and does not guarantee their calculations or service continuity.
Invoices must be paid by the agreed due date. After reasonable written notice of material overdue payment, iMELLO may suspend outstanding work or management within the limits of applicable law and the agreement. Already accrued charges remain payable. iMELLO will not claim an unrestricted right to delete Client-owned advertising accounts or unlawfully withhold Client data solely because payment is late.
10. Content rights and permitted use
Each party keeps ownership of its pre-existing intellectual property. The Client confirms that it has the rights and consents needed for materials and instructions it supplies, and grants iMELLO a non-exclusive licence, for the engagement and agreed purposes, to use, adapt, distribute and display those materials as needed to perform the Services. Neither party acquires ownership of the other's trade marks, advertising accounts, content or proprietary technology merely through this engagement.
Rights in newly commissioned creative, reports or deliverables are governed by the written agreement. Where no transfer of rights is expressly agreed, any grant of use is limited to the purpose and scope for which the relevant work was supplied, subject to payment of the agreed fees.
11. Third-party claims and responsibility for Client materials
To the extent permitted by law, the Client will indemnify iMELLO against reasonable, documented third-party claims, liabilities and costs arising directly from unlawful or infringing Client-supplied materials, the Client's misrepresentations, or the Client's breach of its legal or Platform compliance obligations, except to the extent caused by iMELLO's own breach, negligence or unlawful conduct. iMELLO will give reasonably prompt notice of a claim and allow the Client a reasonable opportunity to participate in its defence, subject to confidentiality and applicable legal requirements.
12. Confidentiality and personal data
Each party will take reasonable steps to protect confidential non-public information received in connection with the Services and use it only for agreed purposes, except where disclosure is authorised or legally required. Each party remains responsible for its own applicable personal-data obligations. Personal data must be handled consistently with applicable law, including Singapore's Personal Data Protection Act 2012 where relevant, and the website's Privacy Policy. Any necessary data-processing instructions or cross-border transfer safeguards should be recorded in a separate written agreement where required.
13. Limitations of liability
To the fullest extent permitted by applicable law, neither party is liable to the other for indirect or consequential loss, or lost profits, revenue, business opportunities or anticipated savings arising from the Services, except where such exclusion is unlawful or inconsistent with an express written agreement. iMELLO is not responsible for independent Platform outages, policy decisions or billing errors, or for loss directly caused by inaccurate Client instructions or Client-supplied material, except to the extent attributable to iMELLO's own wrongful conduct.
Subject to mandatory law and any expressly agreed written liability terms, iMELLO's aggregate liability arising from a particular engagement will not exceed the service or management fees actually paid to iMELLO for that engagement during the three months immediately before the event giving rise to the claim. This is intended for commercial business engagements; its enforceability is subject to applicable requirements of fairness and reasonableness, including the Singapore Unfair Contract Terms Act where relevant.
Nothing excludes or restricts liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or restricted. Nothing in this section excuses iMELLO from performing its expressly agreed contractual obligations.
14. Suspension, termination and completion
Either party may terminate in accordance with the written agreement and agreed notice period. Either party may also terminate for a material breach that remains unremedied after a reasonable written opportunity to remedy it, unless immediate action is necessary or permitted by law. On termination, agreed fees for work properly performed and non-cancellable authorised third-party commitments remain payable. iMELLO's ongoing management and monitoring stop when the agreed service ends; reasonable account handover and access arrangements should be coordinated in writing.
15. Events outside reasonable control
Neither party is responsible for delay or non-performance caused by events beyond its reasonable control, including material outages of telecommunications networks, advertising Platforms or hosting providers, natural disasters and government restrictions, to the extent those events prevent performance and the affected party takes reasonable steps to mitigate the impact. Payment obligations for Services already properly provided are not automatically cancelled by such events.
16. Singapore law and dispute resolution
Unless the parties expressly agree otherwise in writing, these additional business-service terms are governed by the laws of Singapore and the parties submit to the non-exclusive jurisdiction of the Singapore courts. Before commencing formal proceedings, the parties will seek in good faith to resolve disputes through written notice and reasonable commercial discussion, without preventing urgent injunctive relief or other remedies available by law.
17. Acceptance, priority and severability
These additional terms apply when they are brought to the Client's attention and incorporated into an accepted proposal, order, invoice or written service agreement. Where a signed agreement or expressly agreed statement of work conflicts with these provisions, that more specific written agreement prevails for the relevant Services. A change posted to this website does not automatically change an existing agreed commercial engagement without an applicable contractual basis.
If a provision is unenforceable, the rest of the terms continues to apply to the extent lawful. A failure to enforce a provision on one occasion does not permanently waive the right to enforce it. Notices concerning Services should be sent to the contact details agreed between the parties; general website enquiries may be sent using the contact form below.
